Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "User", "you") and Ecomify Technologies Pvt. Ltd. ("Ecomify", "we", "us", or "our"). By creating an account, accessing, or using our website, APIs, or software services (the "Services"), you agree to be bound by these Terms.

1. Account Registration & Eligibility

• You must be at least 18 years of age or possess legal business authority to register an account and bind your organization to these Terms.
• You agree to provide true, accurate, current, and complete business information (including GSTIN, PAN, and address) during registration.
• You are strictly responsible for maintaining the confidentiality of your login credentials, API keys, and all activities that occur under your merchant dashboard.

2. Acceptable Use & Prohibited Products

You agree not to use Ecomify to sell or promote any illegal, restricted, or harmful items, including but not limited to:

• Counterfeit goods, unauthorized replicas, or copyright-infringing digital assets.
• Weapons, explosives, hazardous chemicals, or restricted narcotics.
• Phishing materials, malware, deceptive schemes, or unauthorized multi-level marketing (MLM).
• Products violating Indian regulations, FSSAI rules, drugs & cosmetics laws, or export controls.

Ecomify reserves the right to immediately suspend or terminate any store violating this Acceptable Use Policy without prior notice.

3. Subscription Billing, Free Trial & Cancellations

• Free Trial: New accounts may receive a 3-day free trial. No charges occur if cancelled before trial expiry.
• Recurring Billing: Paid plans (Starter, Growth, Pro, Enterprise) are billed on a recurring monthly or annual basis as selected during checkout.
• Taxes: All listed prices are exclusive of statutory GST (18%) unless explicitly stated otherwise.
• Cancellation: You can cancel your subscription at any time directly through the Billing dashboard. Your access will continue until the end of the paid billing period.

4. Merchant Responsibilities & Customer Disputes

As the store owner, you are solely responsible for:

• All content, product descriptions, pricing, images, and inventory listed on your storefront.
• Timely order fulfillment, customer support, shipping, return processing, and handling consumer disputes.
• Compliance with applicable consumer protection laws, e-commerce guidelines, and tax filings in India.

5. Intellectual Property Rights

• Your Content: You retain 100% ownership and intellectual property rights to your store assets, product trademarks, and media. You grant Ecomify a limited license solely to host and display your catalog.
• Ecomify Platform: All software code, UI design, trademarks, documentation, and proprietary algorithms of Ecomify remain the exclusive property of Ecomify Technologies Pvt. Ltd.

6. Limitation of Liability & SLA

To the maximum extent permitted by law, Ecomify shall not be liable for indirect, incidental, special, or consequential damages, lost profits, or business interruptions. For Enterprise plans, our service commitments are governed by the custom Service Level Agreement (SLA) executed between the parties.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or claim arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
